Ustman Technologies, Inc.

On August 24, 2000, plaintiffs filed an Amended Derivative and Class Action Complaint for Breach of Fiduciary Duties and Waste. Plaintiffs also moved enjoin the transaction. On September 19, 2000, the court denied plaintiffs motion.
On January 3, 2001, the court granted defendants' demurrer of the complaint (without leave to amend as to the first cause of action, and with leave as to the second). Plaintiffs appealed the decision. On October 23, 2001, the Court of Appeals reversed the lower court's ruling.
On April 19, 2002, defendants Danaher Corp. and Veeder-Root filed their demurrer to the amended complaint while on May 19, 2002, the Ustman defendants filed their answer to the complaint.
On August 21, 2002, plaintiffs filed their Second Amended Complaint, which the Ustman defendants answered on October 21, 2002. On July 25, 2002, the court heard and granted the demurrer motion of defendants Danaher Corp. and Veeder-Root, but granted plaintiffs leave to amend. On February 11, 2003, the plaintiffs voluntarily dismissed these defendants.
